Terms of Service

1. Acceptance of these terms
These Terms of Service (“Terms”) govern your access to and use of Prestead (the “Service”), a bid leveling product for general contractors operated by Daniel Zhang (“we,” “us,” “Prestead”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
2. Beta status
Prestead is currently offered as a closed beta. The Service is provided to you on an “as is” and “as available” basis. Features may change, break, or be removed without notice. Uptime is not guaranteed. You should not rely on the Service for time-critical workflows without an independent backup process, and you should keep your own copies of every document you upload.
3. Access is by invitation
There is no self-serve signup. Accounts are created by us for invited pilot participants, and access is personal to the individual we invite. You may not share your credentials or allow anyone else to use your account. We may decline, suspend, or withdraw an invitation at our discretion.
4. Your responsibility for outputs
You are solely responsible for verifying the accuracy of any output generated by Prestead before relying on it for procurement or contractual decisions. Prestead uses large language models to read your scope template into scope lines, parse bids, and decide how each bid answers each line. These models can misread, omit, or fabricate information. Every output Prestead produces includes citations back to source material — a locator into your own template, and a verbatim quote and page from the bid — so you can verify it yourself, and you should. Prestead also asks you to confirm the scope lines before any bid is compared against them; that confirmation is the point at which the list becomes yours.
The analysis is derived from the scope template you upload and the bid PDFs you upload, and from nothing else. Specifications, drawings, addenda issued as separate documents, and any other project material are not reviewed. Do not rely on the Service without checking its output against those documents yourself.
Prestead is a tool that supports your decision making. It does not replace the professional judgment of your estimating, procurement, engineering, or legal staff. You — not Prestead — make the final decision about which bid to award, what to clarify, and what obligations to accept.
5. Your account
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at help@presteadai.com if you suspect your account has been compromised.
6. Acceptable use
You agree not to:
- Upload content you do not have the right to share, including confidential bids or scope documents you are not authorized to process.
- Use the Service to violate any law or any third party's rights, including intellectual property, privacy, and confidentiality obligations.
- Probe, scan, or otherwise attempt to interfere with the integrity or performance of the Service. Reporting a security issue to us in good faith is not a breach of this term — see our security page.
- Attempt to reverse engineer, scrape, or build a competing product using outputs from the Service.
7. Your content
You retain ownership of the documents and data you upload to the Service. You grant Prestead a limited license to process that content solely to provide the Service to you and to operate and secure it. We do not use your content to train any machine learning model, and we do not use it to develop or improve the Service beyond what is necessary to deliver your own analysis and to diagnose failures affecting you. 8. Our confidentiality obligation to you
We treat everything you upload — your scope templates, subcontractor bids, pricing, vendor names, and the analyses derived from them — as your confidential information. We will:
- Use it only to provide, operate, secure, and debug the Service for you.
- Not disclose it to any third party except the processors named in our Privacy Policy, each of which receives it only to perform its function, and except where we are compelled by law.
- Not use your pricing, vendor identities, or bid data for benchmarking, market research, aggregated statistics, marketing, case studies, or any product feature that would expose it to another customer.
- Limit internal access to those who need it to operate or debug the Service. We note plainly on our security page that our operator holds administrative access to the underlying database and can therefore read your data; this obligation governs what that access may be used for.
- If we are compelled by law to disclose your content, give you notice before doing so unless we are legally prohibited from giving it.
These obligations survive termination of your account. If you require a separate signed confidentiality or data processing agreement, we will sign one — write to help@presteadai.com.
9. Fees
The Service is provided free of charge during the closed beta. There is no fee, no subscription, and no payment method on file.
If we introduce fees, we will give you at least 30 days' notice by email before any charge applies to your account, and no charge will be made without your express agreement to the new pricing. Declining to pay simply ends your access — you will be able to export or request deletion of your data first.
10. Service availability and changes
We may modify, suspend, or discontinue the Service or any part of it at any time. We will provide reasonable notice of material changes that affect active users. For the duration of the beta we do not offer a service level agreement.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT PRODUCED BY THE SERVICE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRESTEAD OR ITS OWNERS, OPERATORS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
Nothing in these Terms limits liability that cannot be limited under applicable law, and nothing in this section limits our obligations under Section 8 (Our confidentiality obligation to you).
13. Indemnification
You agree to defend, indemnify, and hold harmless Prestead from any third-party claims arising out of (a) your violation of these Terms, (b) your misuse of the Service, or (c) any content you upload that infringes the rights of a third party.
14. Termination
You may stop using the Service at any time and request account deletion as described in our Privacy Policy. We may suspend or terminate your access at any time, with or without cause, if we reasonably believe you have violated these Terms or that doing so is necessary to protect the Service or other users.
15. Governing law and venue
These Terms are governed by the laws of the State of California, USA, without regard to its conflict of laws rules. You and Prestead agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in the State of California, USA, and each party consents to the personal jurisdiction of those courts.
There is no arbitration clause and no class-action waiver in these Terms.
16. Changes to these Terms
We may update these Terms as the product evolves. The “Effective” date above will be updated whenever we make material changes. Continued use of the Service after a change constitutes acceptance of the updated Terms.
